REFERRAL PARTNER AGREEMENT

Unicis Tech OÜ (“Unicis”) engages [Partner Name] (“Partner”) as a Referral Partner under the Unicis Partner Programme. As a Referral Partner, you refer customers to Unicis and earn recurring commission on every converted deal.

• Base Commission: 20% recurring revenue share
• Commission Period: Lifetime of customer subscription
• Payment Frequency: Monthly (after month-end invoice generation)
• Payment Method: [INSERT: Wire transfer / Bank transfer / Other]
• Minimum Payout Threshold: €50 EUR

A referral is qualified when:

• Customer is referred through Partner's unique referral link or code
• Customer converts to a paid Unicis subscription within 90 days of referral
• Customer is not already a Unicis customer at time of referral

Commission = (Monthly Subscription Revenue × 20%) for duration of subscription

Example: If referral customer pays €100/month, Partner earns €20/month for as long as that customer maintains active subscription.

• Maintain accurate referral tracking via Partner Portal
• Represent Unicis professionally and accurately
• Comply with all applicable regulations in marketing materials
• Notify Unicis of any brand misuse or competitive conflicts
• Respond to customer inquiries within reasonable timeframe

• Provide unique referral link/code within 5 business days
• Grant access to Partner Portal for tracking
• Provide co-branded sales materials (email templates, one-pagers)
• Assign partner manager for support and guidance
• Pay commissions within 30 days of month-end invoice

Non-exclusive. Partner may refer other GRC/compliance solutions.

All Unicis marketing materials remain property of Unicis Tech OÜ. Partner may use only as provided for co-marketing purposes.

Partner agrees to maintain confidentiality of non-public Unicis information (roadmap, pricing, customer data) during and after agreement term.

Either party may terminate this agreement with 30 days written notice. Commissions earned before termination remain payable.

Partner assumes liability for all claims arising from Partner's marketing activities and representations.

Partner agrees to:

• Comply with GDPR and data protection regulations
• Not engage in spam, unsolicited contact, or unethical marketing
• Not make false claims about Unicis products or capabilities
• Disclose Partner relationship transparently to prospects
